• you have read, understood, and agree to be bound by these Terms;

4.2 Formal Quotation Process. A binding quotation will only be issued by Biztech Group following:

• an on-site survey conducted by a Biztech Group certified consultant;
• a detailed assessment of your specific requirements, site conditions, and technical specifications;
• preparation of a formal written quotation document signed by an authorised representative of Biztech Group.

4.3 Accuracy of Information. You agree to provide accurate, current, and complete information when submitting any form on this Website. Biztech Group is not responsible for errors, delays, or incorrect estimates resulting from inaccurate or incomplete information provided by you.

4.4 No Exclusivity. Submission of an RFQ does not create any exclusive relationship, right of first refusal, or obligation for Biztech Group to provide you with a quotation or to refrain from quoting other parties for similar work.

4.5 Governing Terms of Sale. The supply of goods and services by Biztech Group is governed exclusively by the terms and conditions set out in Biztech Group's formal written contract or purchase order acceptance. In the event of any conflict between these Terms and any formal contract, the formal contract shall prevail.

5.1 Nature of AI Estimates. Our Website may incorporate AI-powered tools that generate indicative cost ranges or solution recommendations based on user inputs such as property type, floor area, number of floors, or intended use. These outputs are produced by automated systems trained on general market data and historical project information.

5.2 Limitations. AI-generated estimates:

• do not account for site-specific conditions, structural characteristics, or local authority requirements that may materially affect actual costs;
• do not reflect real-time market prices, supply chain conditions, or currency fluctuations;
• are based on aggregated data and may not reflect current pricing from specific manufacturers or subcontractors;
• may vary significantly from actual installed cost, which can only be determined following a formal site survey;
• are not reviewed or verified by a licensed professional engineer, quantity surveyor, or certified consultant at the time of generation.

5.3 No Reliance. You acknowledge that you must not make any investment, procurement, budgeting, or business decision based solely on an AI-generated estimate from this Website. Biztech Group expressly disclaims all liability for any loss, damage, or expenditure arising from reliance on AI-generated outputs without obtaining a formal written quotation.

6.1 Ownership. All content on this Website, including but not limited to text, copy, graphics, photographs, logos, icons, illustrations, video content, data compilations, software, and the overall design and structure of the Website ("Content"), is owned by or licensed to Biztech Group Pte Ltd and is protected by Singapore and international intellectual property laws, including the Copyright Act 2021 (Singapore).

6.2 Restricted Use. 9.2 Aggregate Cap. Where liability cannot be excluded by law, Biztech Group's total aggregate liability to you arising from or relating to these Terms or your use of the Website shall not exceed SGD 500 or the amounts paid by you to Biztech Group in the three (3) months immediately preceding the event giving rise to the claim, whichever is higher.

9.3 Statutory Rights. Nothing in these Terms limits or excludes any liability which cannot legally be limited or excluded under applicable Singapore law, including liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

9.4 Separate Project Liability. The limitation of liability in this Section 9 applies to your use of this Website only. Liability in connection with any project, service contract, or supply agreement with Biztech Group is governed by the specific terms and conditions of that agreement.

You agree to indemnify, defend, and hold harmless Biztech Group Pte Ltd, its directors, officers, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• your breach of these Terms or any applicable law or regulation;
• your use of the Website in a manner not authorised by these Terms;
• any content or information you submit to the Website that is false, misleading, or infringes the intellectual property or privacy rights of any third party;
• any claim by a third party arising from your conduct in connection with the Website.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

Subject to Section 12 (Dispute Resolution), you irrevocably submit to the non-exclusive jurisdiction of the courts of Singapore in relation to any dispute or claim arising under or in connection with these Terms.

12.1 Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, the parties shall first attempt to resolve the dispute through good-faith negotiation between senior representatives within 30 days of written notice of the dispute.

12.2 Mediation. If the dispute is not resolved by negotiation within 30 days (or such longer period as agreed in writing), either party may refer the dispute to mediation administered by the Singapore Mediation Centre (SMC) in accordance with its applicable rules, before resorting to arbitration or litigation.

12.3 Arbitration. If the dispute is not resolved by mediation, it shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules for the time being in force. The seat of arbitration shall be Singapore. The language of arbitration shall be English. The arbitral tribunal shall consist of one (1) arbitrator.

12.4 Injunctive Relief. Notwithstanding the foregoing, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration proceedings.

Biztech Group shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, strikes, labour disputes, power failures, Internet outages, or failure of third-party service providers.

14.1 Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, void, or for any reason unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

14.2 Entire Agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and Biztech Group with respect to your use of the Website and supersede all prior or contemporaneous understandings, representations, or agreements relating to the same subject matter.

14.3 No Waiver. Failure by Biztech Group to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Biztech Group may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.

Biztech Group reserves the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where practicable, provide notice on the Website or by email. Your continued use of the Website after the effective date of any revision constitutes your acceptance of the updated Terms.
